These Terms of Service ("Terms") govern your access to and use of the Reconovo platform, website, applications, and related services. By creating an account or using the Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you should not use the Platform.
1. Description of Service
Reconovo is a cloud-based business collaboration platform that enables organizations to:
- Record invoices
- Record payments
- Record credit memos
- Confirm business transactions
- Perform customer and supplier reconciliations
- View shared ledger balances
- Exchange reconciliation information
- Integrate with supported accounting software
Reconovo acts solely as a technology platform and does not participate in or become a party to any commercial transaction between users.
2. Eligibility
You must:
- Be at least 18 years old.
- Be authorized to act on behalf of your organization.
- Use the Platform only for lawful business purposes.
3. User Accountsy
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities occurring under your account.
- Promptly notifying us of any unauthorized access.
Reconovo is not responsible for losses resulting from unauthorized use of your account due to your failure to safeguard login credentials.
4. Data Ownership
All invoices, payments, credit memos, documents, reconciliation data, and other business information uploaded to the Platform remain the exclusive property of the respective customer.
Reconovo does not claim ownership of customer data.
Upon termination of the subscription, customers may export their data subject to applicable retention policies.
5. Limited License
Reconovo grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your business operations.
You may not:
- Resell the Platform.
- Copy or reverse engineer the software.
- Modify or create derivative works.
- Attempt unauthorized access.
- Use automated bots without written permission.
6. Customer Responsibilities
Customers are responsible for:
- Accuracy of all information entered.
- Reviewing invoices before approval.
- Recording payments correctly.
- Maintaining appropriate internal controls.
- Compliance with applicable accounting, tax, and regulatory requirements.
Reconovo does not verify the correctness of accounting records or financial transactions entered by users.
7. Transaction Confirmations
Invoice approvals, payment confirmations, and credit memo confirmations performed through the Platform represent acknowledgements by the participating users.
Reconovo does not guarantee payment, settlement, or fulfillment of contractual obligations between customers and suppliers.
Any commercial disputes remain solely between the respective parties.
8. Third-Party Integrations
Reconovo may integrate with third-party services including accounting software and email providers.
Such integrations are subject to the terms and availability of those third-party providers.
Reconovo is not responsible for interruptions, errors, or data inaccuracies originating from third-party services.
9. Subscription and Fees
Subscription fees are payable in advance according to the selected plan.
Failure to pay applicable fees may result in suspension or termination of access.
Unless otherwise agreed, subscription fees are non-refundable.
Taxes applicable under local law remain the responsibility of the customer.
10. Availability
While we strive for high service availability, Reconovo does not guarantee uninterrupted or error-free operation.
Scheduled maintenance, upgrades, or circumstances beyond our control may temporarily affect service availability.
11. Security
Reconovo implements commercially reasonable security measures to protect customer information.
Customers remain responsible for:
- Managing user permissions.
- Protecting passwords.
- Maintaining security within their own organization.
12. Confidentiality
Both Reconovo and its customers agree to treat confidential business information with appropriate care.
Reconovo will not disclose customer business information except:
- As required to provide the services.
- With customer authorization.
- As required by law.
13. Intellectual Property
All intellectual property relating to the Reconovo Platform, including software, design, branding, trademarks, documentation, and proprietary technology, remains the exclusive property of Reconovo.
These Terms do not transfer ownership of the Platform or any intellectual property rights.
14. Acceptable Use
Users may not:
- Upload unlawful or fraudulent content.
- Upload malicious software.
- Attempt to interfere with platform security.
- Use the Platform to violate applicable laws.
- Impersonate another individual or organization.
Reconovo reserves the right to suspend accounts engaged in prohibited activities.
15. Limitation of Liability
To the fullest extent permitted by law, Reconovo shall not be liable for:
- Lost profits
- Business interruption
- Loss of goodwill
- Indirect or consequential damages
- Errors in customer-entered data
- Commercial disputes between customers and suppliers
- Delays caused by third-party service providers
Reconovo's total liability arising from any claim shall not exceed the subscription fees paid by the customer during the twelve (12) months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify and hold Reconovo harmless against claims arising from:
- Your misuse of the Platform.
- Violation of these Terms.
- Violation of applicable laws.
- Infringement of third-party rights.
17. Suspension and Termination
Reconovo may suspend or terminate access if:
- Subscription fees remain unpaid.
- These Terms are violated.
- Fraudulent or unlawful activity is detected.
- Continued access presents a security risk.
Customers may terminate their subscription at any time in accordance with their subscription plan.
18. Data Retention
Following termination, customer data may be retained for a limited period to facilitate account recovery or comply with legal obligations.
Thereafter, data may be permanently deleted in accordance with our data retention policies.
19. Changes to the Service
Reconovo may modify, improve, or discontinue features from time to time.
Material changes affecting customer rights will be communicated through the Platform or by email where appropriate.
20. Governing Law
These Terms shall be governed by the laws of India, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, India, unless otherwise required by applicable law.
